Endo understands that you care about how we collect, use, and share information when you interact with our websites (“Sites”), online services, applications, and business operations and services (collectively, “Services”). We value the trust you place in us. This Privacy Notice explains how Endo International plc and its affiliates and subsidiaries ("we," "us," "our," "Endo") collect, use, share, and protect personal information (“PI”) in connection with Endo Services. This Privacy Notice applies to https://www.endo.com or any other website on or in which this Privacy Notice is posted.

This Statement provides information about:

  • the types of PI we collect about you through our websites, online services and mobile applications (our “Sites”) as well as from third party sources and offline in connection with our Services;
  • how we use that PI;
  • the types of PI we may share with others and under what circumstances;
  • our security practices related to your PI;
  • the rights you may have regarding your PI and our data handling practices; and,
  • other practices related to the handling of your PI.

1. SCOPE

This Privacy Notice describes the information we collect through our Sites or via our Services, why we collect it, and what we do with the information we collect. This Privacy Notice does not apply to information that is collected by any third party website or service that you access through our Sites.

Our agreements with certain clients may contain provisions about the collection, use, storage and disposal of information collected through our Sites and via our Services. If a provision of a client agreement conflicts or otherwise is inconsistent with a provision of this Privacy Notice, then the provision of the client agreement will prevail but solely to the extent of the conflict or inconsistency.

2. INFORMATION WE COLLECT AND HOW WE COLLECT IT

Endo collects information from when you use our Sites or Services in the following ways:

When You Provide Information to Endo:

We collect and maintain PI about you to understand and meet your needs, provide our Services, manage our business, and for other purposes disclosed to you. We collect and store any information you enter on our Sites, provide to us in written form, or communicate to us verbally. This may include:

  • Personal identifiers such as your name, address, email address, account name, social security number, driver’s license number, passport number, etc.
  • Business contact information (e.g., information printed on a business card)
  • Criminal record
  • Personal or physical characteristics protected by federal or state law, such as gender, race, ethnicity, age, sexual orientation, disability, AIDS/HIV status, religion etc.
  • Commercial information, including records of personal property, products or services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies
  • Biometric information
  • Internet or other electronic network activity information, including, but not limited to, browsing history, search history, and information regarding a consumer’s interaction with an internet website, application, or advertisement
  • Geolocation data
  • Professional or employment-related information, including, salary, job title, performance reviews, employment history etc.
  • Education information that would not be publicly available (e.g., student records)
  • Financial information, including bank account information, credit / debit card information, credit report information etc.
  • Health-related data, including information provided in connection with reported adverse reactions to our pharmaceuticals
  • Audio, electronic, visual, thermal, olfactory or similar information
  • Inferences drawn from any of the information to create a profiles about individuals reflecting preferences, characteristics, psychological trends, preferences, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes

We also collect personal information that you submit to us when applying for a job via the Endo Careers website, powered by Workday (including any CV or résumé that you upload to the website). For job applicants, we may also collect information about you from publicly available social media profiles, such as content from external job bulletin boards.

We collect any feedback, question and other information that you provide to us. We treat all information that you provide to us as confidential.

When You Use the Site: We collect information about how you use the Site:

  • Through Server Logs: A server log is a list of the activities that a server performs. Endo’s servers automatically collect and store in server logs your search queries, Internet Protocol (IP) address, hardware settings, browser type, browser language, the date and time of your request and referral URL and certain cookies that identify your browser or Endo account.
  • From Your Computer or Mobile Device: We collect device-specific information, such as your computer or mobile telephone model, operating system version, device identifiers and mobile network information.

From Other Sources: Endo collects information from third parties that assist us with our business operations. As part of their services, they may collect and use information through our Sites or Services and share the collected information with us. For example, our service providers may collect and share information with us to analyze the performance of our Sites, detect and prevent fraud or to improve user experience.

3. DATA COLLECTION TECHNOLOGY

We use data collection technology to collect information about you and your use of our Sites. Data collection technology deployed through the Sites may include cookies and web beacons.

  • A cookie is a small text file that is sent to or accessed from your web browser or your computer’s hard drive. A cookie typically contains the name of the domain (internet location) from which the cookie originated, the “lifetime” of the cookie (i.e., when it expires) and a randomly generated unique number or similar identifier. A cookie also may contain information about your computer, such as user settings, browsing history and activities conducted while using the Site. A web beacon (also called a pixel tag or clear GIF) is a piece of computer code that enables us to monitor user activity and website traffic. Data collection technology helps improve functionality and determine which features users prefer by collecting information about your browser type, domain name of your Internet service provider, websites visited before and after visiting the Site, and web pages viewed. We may compile statistics about use of the Site to help us analyze technical and navigational information about the Site and to detect and prevent fraud.

Your Control of Cookies: Some web browsers (including some mobile web browsers) provide settings that allow you to control or reject cookies or to alert you when a cookie is placed on your device. To learn more, visit www.aboutcookies.org/how-to-delete-cookies/.

Do Not Track: Some web browsers (including Safari, Internet Explorer, Firefox and Chrome) incorporate a “Do Not Track” (“DNT”) or similar feature that signals to websites that a user does not want to have his or her online activity and behavior tracked. If a website that responds to a particular DNT signal receives the DNT signal, the browser can block that website from collecting certain information about the browser’s user. Not all browsers offer a DNT option and DNT signals are not yet uniform. For this reason, many website operators, including Endo, do not respond to DNT signals.

4. HOW WE USE YOUR INFORMATION

We may use the information we collect from or about you to:

  • Provide our Sites and Services
  • Communicate with you, including to respond to your inquiries and fulfill your requests
  • Respond to your comments and queries for our internal business purposes
  • Provide, maintain, personalize, optimize, secure and improve our Sites or Services, including research and analytics regarding use of our Sites, social media platforms and third-party services, physical locations, facilities and infrastructure and to remember you when you leave and return to our Sites or facilities
  • Provide and improve our products and services to process any transactions you request, or to authenticate your identity
  • Deliver advertising, including interest-based advertising on our Sites, other websites and applications and other media
  • Investor engagement and reporting to communicate with shareholders, on matters relating to regulatory filings, governance guidelines, sustainability, and similar topics
  • Support for clinical trials analysis and research activities
  • Staff management activities, including employee engagement, training and awareness, payroll processing, identity and access management, tax preparations, benefits processing, labor laws and leave administration, etc.
  • If applicable, evaluate your application for employment with Endo, including to communicate with you about your application, conduct any necessary or appropriate background checks, comply with our policies, manage any aspects of your prospective, current or former employment relationship with Endo, and verify PI by contacting your references in connection with the establishment and defense of legal interests
  • Comply with our obligations, including legal, regulatory, operational or fiscal obligations, including to report adverse events to regulators
  • Detect, investigate, and prevent activities that may violate our policies or be fraudulent or illegal
  • Vendor management activities, including due diligence, contract signing, compliance to regulations, screening, auditing, on-going monitoring etc.
  • For all other purposes to which you have agreed.

We may combine information that you provide to us or information that we collect automatically through our Services with other information we obtain from our business records, including your use of Endo products, services, websites and applications and, where applicable, your preferences and other personal characteristics. We also may use or combine information that we collect with information we obtain from third parties, including demographic information and other attributes, such as census data, demonstrated interests, and organizational affiliations. Additionally, information collected from a particular browser or device may be used with another computer or device that is linked to the browser or device on which such information was collected.

We may use information we collect from or about you to create aggregated or de-identified data that does not identify you. Once the data is aggregated or de-identified, we may use it for any purpose permitted by law and we may share it with third parties for their own uses.

5. HOW WE SHARE YOUR INFORMATION

We may share your information:

  • With companies who work on our behalf to help us provide and support our Sites and our products and services. We require these service providers to treat all information we provide as confidential and to use it only for providing the services for which they have been engaged.
  • Within the Endo family of affiliated companies to provide you products and services as described in this Privacy Notice.
  • Where disclosure is necessary in connection with other business purposes including, without limitation, patient care, service quality, business management and operation, recruiting and talent management, risk assessment, security, fraud and crime prevention/detection, monitoring, research and analysis, marketing, customer purchasing preferences, and trends and dispute resolution.
  • Endo may share and transfer personal data if Endo is involved in a merger, sale, acquisition, divestiture, restructuring, reorganization, dissolution, bankruptcy or other change of ownership or control by Endo or its parent or affiliated companies (in each case, whether in whole or in part). We cannot promise that an acquiring party or the merged entity will have the same privacy practices or treat your information the same as described in this Privacy Notice.

Other Lawful Disclosures: Endo may also share information: (i) as required or permitted by law, including any requirements from government agencies and taxing authorities; (ii) if we determine that disclosure of specific information is necessary to comply with the request of a law enforcement or regulatory agency or other legal process; (iii) to protect the rights, privacy, property, interests or safety of Endo or our affiliated companies, customers, employees or the general public; (iv) to pursue available remedies or limit damages; (v) to enforce Endo’s agreements with you; and (vi) to respond to an emergency.

  • Contact research organizations
  • Bio-pharma technology and solution providers
  • Pharmaceutical support service providers
  • Life sciences and healthcare service providers
  • Forensics partners
  • Medical affairs and clinical development consultants
  • Security, business management and compliance consultants
  • Human resource management consultants
  • Legal and regulatory authorities (e.g., government regulators including the U.S. Food and Drug Administration (FDA), law enforcement agencies)
  • Auditors
  • Tax and financial advisors
  • Outside legal counsel
  • Insurance providers
  • Medical laboratories
  • Business partners
6. HOW WE PROTECT AND STORE INFORMATION

Endo deploys administrative, physical and technical safeguards intended to help protect information that we collect, process and store. Unfortunately, however, no safeguards are foolproof. Your use of our Sites is at your own risk and Endo expects that you will use appropriate security measures to protect information that you process through our Sites.

You are responsible for maintaining the security of your account credentials and other authentication involved in obtaining access to password-protected or secure areas of our Sites. Endo will treat access to our Sites through your account credentials as authorized by you. Unauthorized access to password-protected or secure areas is prohibited and may lead to criminal prosecution.

We may suspend your use of all or part of our Sites without notice if we suspect or detect any breach of security. If you believe that information you provided to us is no longer secure, please notify us immediately using the contact information provided below.

We store and retain information for as long as necessary to fulfill the purposes for which you provided the information, to comply with legal obligations, to resolve disputes, to enforce our agreements with you and for similar essential purposes.

7. CONTROLLING THE USE OF YOUR INFORMATION FOR EMAIL COMMUNICATIONS

You may instruct Endo to stop sending you emails by submitting a request following the ‘unsubscribe’ instructions provided in the website. Endo may, however, continue to communicate with you about an ongoing business transaction.

You can always choose not to provide information to us.

By using our Sites or Services and/or submitting PI to us, you are accepting and consenting to the practices and uses described in this Privacy Policy. This Privacy Policy is not a contract.

8. CALIFORNIA RESIDENTS

California Code Section 1798.83 permits individual California residents to opt out of Endo’s disclosure of personal data to third parties for their direct marketing purposes. California law also permits residents of California to request and obtain from us once per year, free of charge, a list of the third parties (if any) to whom we have disclosed personal data for their direct marketing purposes in the prior calendar year, as well as the type of personal data disclosed to those third parties. Endo does not disclose your personal data to third parties for their direct marketing purposes. If Endo changes this practice, we will update this section. Please contact us with questions.

Your Rights to Request Access to and Deletion of your Personal Information: Under the California Consumer Privacy Act (“CCPA”), California consumers (both customers and employees), subject to certain exceptions, have the right to request access and deletion of PI collected, used, transferred, disclosed, sold, or processed by Endo. You can, subject to proper validation:

  • Request confirmation as to whether Endo has PI relating to you
  • Request access to your PI that Endo holds on you, including:
    1. The categories and specific pieces of PI that Endo has collected about you;
    2. Information about the sources of collection;
    3. The business or commercial purpose for collecting your PI; and
    4. The type of third parties with which we share your PI.
  • Request deletion of your PI.

You can make such a request by submitting a request via email at privacy@endo.com or by calling us at (800) 462-ENDO (3636). Please include your full name, mailing address, email address, phone number, date of birth (month, day), relationship to Endo (e.g., former employee, health care provider, patient in a clinical trial), and type of request (e.g., Request to Know/Access, Request to Delete). We will provide a response with the required information free of charge within 45 days of receiving a verifiable request (with an additional extension of 45 days if reasonably necessary). You may request this information free of charge up to two (2) times in a 12-month period.

We may request additional information from you—such as employee ID number, as well information we may have on file about you, such as your date of hire—in order to verify your identity and confirm that the request is valid. The information we require may vary depending on your relationship to us. If we are unable to verify your identity using this process, we will provide you with an explanation and describe additional steps you may take to assist us in successfully verifying your request.

If you request deletion of your PI, we will assess the request to confirm whether there are any reasons for which we are required to retain the information about you, including for specific business purposes, to fulfil a legal obligation, or other reasons permitted under the law. If we are not able to service your deletion request, we provide you with an explanation.

We Do Not Sell Your Personal Information: Under the CCPA, California consumers have the right to request that their information not be sold for value. Currently we do not and will not sell or disclose your information to third parties for monetary or in-kind compensation; however, if this practice changes in the future, we will provide updated information via this Notice and provide instructions on this page on how to submit a request to stop selling your PI. In that event, you may also request, free of charge, a list of the third parties (if any) to whom we have disclosed your PI for direct marketing purposes within the prior calendar year, as well as the type of PI disclosed to those third parties.

California consumers also have the right not to receive discriminatory treatment from the exercise of these rights. Endo will not discriminate against you for exercising your rights under this Notice.

9. THE SERVICES ARE NOT FOR CHILDREN

You must be at least the age of majority in your place of residence to use the Site. The Site is not directed to or intended for use by minors. Consistent with the requirements of the U.S. Children’s Online Privacy Protection Act, if we learn that we received any information directly from a child under age 13 without his or her parent’s verified consent, we will use that information only to inform the child (or his or her parent or legal guardian) that he or she cannot use the Site.

If you are a parent or guardian of a minor who has provided information without your knowledge or consent, you may submit a request to remove the minor’s information by emailing us at privacy@endo.com.

10. LINKS TO OTHER WEBSITES AND SERVICES

The Site may include links to third-party websites and services that are not operated by us, such as for recordings of earning reports. When you click these links, you are navigating away from the Site. A link to a third-party website or service does not mean that we endorse it or the quality or accuracy of information presented on it. If you decide to visit a third-party website or service, you are subject to its privacy practices and policies, not ours. This Privacy Notice does not apply to any personal data that you provide to these other websites and services.

11. NOTICE TO USERS IN THE EUROPEAN UNION

If you are located in the European Union (“EU”), please refer to Endo’s EU Privacy Notice.

For individuals in the EU, to the limited extent that it is necessary to transfer personal data outside of the European Economic Area (“EEA”), we will ensure appropriate safeguards are in place to protect the privacy and integrity of such personal data, including standard contractual clauses under Article 46.2 of the GDPR. Please contact us if you wish to obtain information concerning such safeguards (see How to Contact Us below).

12. GOVERNING LAW

If you choose to visit our Sites, your visit and any dispute about your privacy rights is subject to our Terms of Use, including the application of the laws of the State of New York unless law applicable to you and us requires otherwise.

13. CHANGES TO THIS PRIVACY NOTICE

The Effective Date of this Privacy Notice is set forth at the top of this webpage. We reserve the right to change our Privacy Notice as business needs or applicable laws require. If Endo makes material changes to the way we use personal data, Endo will (unless otherwise required by law) attempt to notify you through a notice posted at https://www.endo.com/privacy-legal/privacy before the changes take effect. Your continued use of our Sites after the Effective Date of the revised Privacy Notice constitutes your acceptance of the revised Privacy Notice. The revised Privacy Notice replaces and supersedes all previous versions.
